Welcome to AlphaStone Technologies SP (AlphaStone), a private investment management firm. This document delineates the Terms of Use Agreement that govern your interaction with our services. By accessing or utilizing our services, you are consenting to abide by these terms. If you disagree with any part of these terms, we kindly request that you refrain from using our services.

2. Service Overview

AlphaStone is a quantitative hedge fund trading firm that trades and invests on behalf of its investors. Our short-term strategies are based on statistical edge to seek consistent, low-risk returns. We leverage precise data analysis to identify and capitalize on short-term market anomalies. Please note that our services do not constitute financial advice or a guarantee of investment success.

3. Account Registration and User Responsibilities

(a) To unlock major features of our services, you are required to create a user account. You agree to provide accurate, up-to-date, and complete information during the registration process and to regularly update such information.

(b) You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.

4. Service Usage

(a) You agree not to use the services for any unlawful, fraudulent, or unauthorized purpose. You also agree not to use the services in a way that could harm, disable, overburden, or impair our platform or interfere with any other party's use of the services.

(b) You may not access or use our services if you are a competitor of AlphaStone or intend to use the services for competitive analysis or to develop a similar service.

5. Intellectual Property Rights

(a) All content, features, and functionality available through our services, including but not limited to text, graphics, logos, images, and software, are the intellectual property of AlphaStone and are protected by copyright, trademark, and other laws.

(b) You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store or transmit any of the material on our services, except as expressly permitted by these terms.

(c) It is reiterated that AlphaStone holds the exclusive rights to all content available on our platform. You are strictly prohibited from reproducing, distributing, modifying, creating derivative works, publicly displaying, or exploiting any of the content without obtaining our prior written consent.

6. Deposits, Investments, and Withdrawals

(a) You can deposit at any time. Fees vary for local currency payment, depending on whether you use a personal savings bank account or a cheque account. For international payments, an additional currency conversion fee applies.

(b) Once a deposit is confirmed and loaded (typically 1-3 business days), the funds are automatically invested. You can request withdrawals during the designated withdrawal period, which occurs during the first week of each calendar month.

(c) Once your funds are automatically invested, your capital is subject to a minimum holding period of one full calendar month. (i) This means you can only request a withdrawal effective in the *next* available withdrawal period after the minimum holding period is met. (ii) When your funds are invested or you withdraw, currency conversion may be processed, potentially taking an additional period (e.g., up to 1 week) before capital is fully invested or disbursed. (iii) Consequently, you should anticipate that withdrawals may take at least one week from the start of the withdrawal period to be processed and disbursed from the fund.

(d) Following the approval and processing of a withdrawal request, any profits corresponding to the withdrawn capital will be computed and disbursed to investors. The duration for this process can fluctuate due to payment system operations and bank processing schedules. Any relevant fees for the chosen withdrawal method or currency conversion may be subtracted. AlphaStone does not levy charges for withdrawals; however, your bank or payment service provider might impose their own fees.

7. Account Termination

AlphaStone reserves the right to terminate or suspend your account and access to our services at our sole discretion, without any obligation to provide a reason or prior notice, particularly in cases of suspected violation of these terms, fraudulent activity, or regulatory requirements.

8. Limitation of Liability

To the fullest extent permitted by applicable law, AlphaStone, its proprietor, employees, or affiliates shall not be held liable for any damages, whether direct, indirect, incidental, special, consequential, or punitive, including but not limited to loss of profits, data, goodwill, or other intangible losses, that may arise from your access to or use of, or inability to access or use, our services.

9. Governing Law and Jurisdiction

(a) These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

(b) You agree that any legal action or proceeding arising out of or relating to these Terms of Use or your use of the Service shall be brought exclusively in the courts located in Toronto, Ontario, Canada, and you hereby consent to the jurisdiction and venue of such courts.

(c) Regarding exemptions from certain securities registration requirements (such as those under the Ontario Securities Commission - OSC, or the U.S. Securities and Exchange Commission - SEC), AlphaStone operates under the premise that its activities may fall under exemptions applicable to private offerings limited to accredited investors or specific networks, offerings of restricted size, or other relevant exemptions under applicable law. AlphaStone does not represent itself as being registered with the SEC or any other securities regulatory authority. Investors are responsible for ensuring their participation complies with the laws of their own jurisdiction.

10. Amendments to the Terms

(a) AlphaStone reserves the right to update or revise these Terms of Use at any time. Any changes will be effective immediately upon posting the revised Terms on our platform, with the "Updated" date reflecting the latest revision. Your continued use of the service after such changes constitutes your acceptance of the new Terms.

(b) It is your responsibility to review these Terms periodically for changes. If you do not agree to any of the terms or any future modifications, you must stop using the service.
